These Terms & Conditions apply to the website operated at zovo.hk and to all products, services, quotations, orders and transactions provided by Zovo Limited (“Zovo”, “we”, “our” or “the Company”).

By accessing our website, placing an order, requesting a quotation, approving artwork, making payment or using our services, you agree to be bound by these Terms & Conditions, together with our Shipping Policy, Returns & Refund Policy and Privacy Policy.

1. About Zovo

Zovo is a Creative Production House based in Hong Kong, providing products and production services including, but not limited to, apparel, merchandise, accessories, printing, embroidery, customisation and related creative production solutions.

These Terms & Conditions apply to both online purchases and offline orders arranged through our sales team, unless otherwise agreed in writing by Zovo.

2. Products and Services

We provide a range of ready-made products, customised products and made-to-order production services.

Product descriptions, images, colours, specifications, size charts and other information displayed on our website or in quotations are provided for general reference only. While we aim to present our products as accurately as possible, actual products may vary slightly due to screen display settings, production methods, fabric batches, material characteristics and other reasonable production factors.

Zovo reserves the right to update, modify, discontinue or replace any product, service, material, specification or price at any time without prior notice.

3. Quotations and Order Confirmation

Unless otherwise stated, quotations issued by Zovo are valid for 30 days from the date of issue.

An order is only confirmed when Zovo has received the required payment, deposit, written confirmation, purchase order or other confirmation accepted by Zovo.

Before confirming an order, the customer is responsible for checking and confirming all order details, including but not limited to product type, quantity, size, colour, material, artwork, printing or embroidery position, delivery date, delivery address and any special requirements.

Zovo reserves the right to reject or cancel any order at our discretion, including but not limited to cases involving pricing errors, unavailable materials, unsuitable artwork, suspected infringement, illegal content or any request that we consider inappropriate or unable to fulfil.

4. Pricing and Payment

All prices are subject to confirmation by Zovo. Prices may vary depending on quantity, product type, material, artwork, production method, urgency, delivery requirements and other order details.

For customised or made-to-order products, Zovo generally requires a 50% deposit before production begins. The deposit is non-refundable once the order is confirmed.

Unless otherwise agreed in writing, the remaining balance must be paid in full before delivery, dispatch or collection of the goods.

Special payment arrangements, including but not limited to purchase orders, P-card payments, monthly accounts, post-delivery payment terms or arrangements for government bodies, schools, NGOs or corporate clients, must be confirmed with Zovo’s sales team in advance and accepted by Zovo in writing.

Zovo reserves the right to pause production, withhold delivery or cancel an order if payment is not received on time.

5. Artwork, Design Approval and Customer Materials

The customer is responsible for providing accurate and usable artwork, logos, text, images, design files and other production information.

Where artwork, mockups, digital previews or production layouts are provided by Zovo, they are for confirmation purposes only. The customer must carefully check all details before approval, including spelling, logos, colours, size, placement, quantity and product specifications.

Once the customer approves the artwork, mockup or order details, Zovo will proceed based on the approved version. Any errors, omissions or inaccuracies approved by the customer shall be the responsibility of the customer.

After order confirmation, changes to quantity, size, colour, artwork, printing position, production method or other order details are generally not accepted. Any changes, if accepted by Zovo, may be subject to additional charges and may affect the production lead time.

If the customer delays providing artwork, information, payment or approval, the production schedule and delivery date may be postponed accordingly. Zovo shall not be liable for any delay caused by the customer’s late submission or late approval.

6. Intellectual Property and Customer Content

The customer warrants that all logos, trademarks, images, text, designs, artwork and other materials provided to Zovo are either owned by the customer or properly licensed for use.

The customer shall be solely responsible for any claims, disputes, losses, costs or liabilities arising from the use of materials provided by the customer, including but not limited to copyright, trademark, design rights, image rights or other intellectual property issues.

Zovo reserves the right to refuse any artwork, content or production request that we consider to be infringing, illegal, misleading, offensive, discriminatory, hateful, obscene, politically sensitive, counterfeit-related or otherwise inappropriate.

All website content, product images, text, layouts, graphics, designs, branding and other materials created or owned by Zovo remain the property of Zovo or its licensors and may not be copied, reproduced, distributed or used without our prior written consent.

7. Production Lead Time

Production lead time starts only after all required items have been completed, including order confirmation, deposit or payment, artwork approval, product confirmation and receipt of all necessary information.

Any lead time provided by Zovo is an estimate only, unless expressly confirmed in writing as a guaranteed deadline.

Production and delivery may be affected by factors including but not limited to material availability, artwork complexity, order quantity, peak seasons, public holidays, factory schedules, logistics delays, customs clearance, weather conditions and other circumstances beyond our reasonable control.

Urgent orders must be confirmed with Zovo in advance and may be subject to additional charges.

8. Product Tolerances and Colour Variations

The customer acknowledges that customised and mass-produced products may have reasonable production variations.

Unless otherwise stated, the following tolerances may apply:

  • Product size tolerance: approximately ±2 cm
  • Printing, embroidery or decoration position tolerance: approximately ±2 cm

Colours shown on screens, digital mockups, printed proofs, fabric samples and final products may vary due to screen settings, lighting, fabric batches, printing methods, embroidery threads, dye lots and material characteristics.

If the customer requires Pantone matching, specific colour control or special colour requirements, this must be discussed and confirmed with Zovo in advance. Additional charges may apply depending on the requirement and production method.

Reasonable variations in size, colour, placement, fabric texture, material batch, finishing, packaging or production details shall not be considered defects.

9. Order Changes and Cancellation

Once an order has been confirmed, changes to quantity, size, colour, artwork, product type, production method or delivery details are generally not accepted.

Once production has started, the order cannot be cancelled.

Deposits are non-refundable once the order is confirmed.

If Zovo agrees to accept any change or cancellation request at our discretion, the customer shall be responsible for any costs, materials, labour, administrative expenses or production losses already incurred.

10. Shipping and Delivery

Shipping and delivery are governed by our Shipping Policy, which forms part of these Terms & Conditions.

By placing an order with Zovo, the customer agrees to the delivery terms, charges, timelines, limitations and procedures set out in our Shipping Policy.

Additional charges may apply for remote areas, outlying islands, special delivery arrangements, multiple delivery addresses, overseas delivery, failed delivery, incorrect delivery information or re-delivery.

Risk in the goods shall pass to the customer upon delivery to the designated address, collection by the customer, or handover to the relevant courier, logistics provider or delivery party, as applicable.

For overseas orders, the customer shall be responsible for any import duties, customs charges, taxes, clearance procedures, local restrictions or other charges imposed by the destination country or region.

11. Returns, Exchanges and Refunds

Returns, exchanges and refunds are governed by our Returns & Refund Policy, which forms part of these Terms & Conditions.

By placing an order with Zovo, the customer agrees to the return, exchange and refund terms, limitations and procedures set out in our Returns & Refund Policy.

Customised, printed, embroidered, altered, made-to-order or specially produced products are generally not eligible for return, exchange or refund due to change of mind, incorrect size selection, incorrect order information provided by the customer or other personal reasons.

If there is any defect, incorrect item or missing item, the customer must notify Zovo within the timeframe stated in our Returns & Refund Policy.

If Zovo confirms that the issue was caused by Zovo, we may, at our discretion, arrange repair, replacement, re-production, supplementary delivery or refund, depending on the circumstances. Refunds will generally only be considered where repair, replacement, re-production or supplementary delivery is not reasonably possible.

12. Website Account

Customers may create an account on our website.

The customer is responsible for maintaining the confidentiality of their account login details and for all activities conducted under their account.

The customer must ensure that all account information, billing information, delivery information and contact details are accurate and up to date.

Zovo shall not be liable for any loss, delay, failed delivery or other issue caused by inaccurate account information or unauthorised account use, unless caused by Zovo’s own fault.

Zovo reserves the right to suspend, restrict or terminate any account if we suspect misuse, fraud, unauthorised activity, breach of these Terms & Conditions or any other inappropriate use of our website.

13. Promotions, Coupons and Pricing Errors

Promotions, discounts, coupons, vouchers and special offers are subject to the specific terms stated at the time of issue.

Unless otherwise stated, promotions, discounts and coupons cannot be exchanged for cash, cannot be applied retrospectively, cannot be transferred and cannot be used together with other offers.

Zovo reserves the right to amend, suspend, withdraw or cancel any promotion, coupon or offer at any time without prior notice.

If there is any pricing error, product information error, system error or quotation error, Zovo reserves the right to cancel the order, correct the error, reject the transaction or issue a revised quotation, even if the order has already been submitted.

In case of any dispute relating to promotions, coupons, pricing or offers, Zovo reserves the right of final decision.

14. Use of Finished Products for Portfolio and Marketing

Unless the customer informs Zovo in writing before order confirmation that the finished products must not be used for marketing or portfolio purposes, the customer agrees that ZOVO may use photographs, videos or images of the finished products for our website, social media, portfolio, case studies, marketing materials and sales presentations.

Zovo will not intentionally disclose confidential information that has been clearly identified by the customer as confidential.

If the customer requires strict confidentiality, non-disclosure or restricted use of finished product images, this must be confirmed with Zovo in writing before order confirmation.

15. Customer Responsibilities

The customer is responsible for:

  • providing accurate order information;
  • checking all artwork, mockups, quotations and order details before confirmation;
  • ensuring that all customer-provided materials are legally authorised for use;
  • making payment on time;
  • providing correct delivery information;
  • inspecting the goods upon receipt; and
  • notifying Zovo of any issue within the required timeframe.

Zovo shall not be liable for any issue caused by incorrect, incomplete, delayed or misleading information provided by the customer.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Zovo shall not be liable for any indirect, incidental, special, consequential or economic loss, including but not limited to loss of profit, loss of business, loss of opportunity, loss of goodwill, event delay, resale loss or third-party claims.

Zovo’s total liability in relation to any order, product or service shall not exceed the amount actually paid by the customer to Zovo for the relevant order, unless otherwise required by applicable law.

Nothing in these Terms & Conditions shall exclude or limit any liability that cannot be excluded or limited under applicable law.

17. Force Majeure

Zovo shall not be liable for any delay, failure or inability to perform our obligations due to circumstances beyond our reasonable control.

Such circumstances may include, but are not limited to, natural disasters, typhoons, black rainstorms, fire, flood, war, civil unrest, pandemic, epidemic, government action, customs delay, import or export restrictions, labour shortage, factory disruption, material shortage, supplier delay, logistics disruption, courier delay, system failure or other events beyond our reasonable control.

Where such circumstances occur, Zovo may extend the production or delivery schedule, make alternative arrangements, suspend the order or cancel the order where necessary.

18. Privacy

Zovo may collect and process personal data for purposes including order handling, quotation, payment, delivery, customer service, account management, marketing communication and website operation.

Personal data will be handled in accordance with our Privacy Policy and applicable privacy laws.

By using our website or placing an order with Zovo, the customer agrees to our collection and use of personal data as described in our Privacy Policy.

19. Third-Party Links and Services

Our website may contain links to third-party websites, payment platforms, logistics providers, social media platforms or other external services.

Zovo is not responsible for the content, privacy practices, security, accuracy or services of any third-party website or service.

The customer’s use of any third-party website or service is subject to the terms and policies of that third party.

20. Amendments to These Terms

Zovo reserves the right to update, amend or replace these Terms & Conditions at any time.

The latest version will be published on our website. Continued use of our website, products or services after any update constitutes acceptance of the updated Terms & Conditions.

21. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of Hong Kong.

Any dispute arising out of or in connection with these Terms & Conditions, our website, products, services, quotations or orders shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
